ARTICLE I
SECTION 1 - NAME
The club shall be known as the Pro Duffers Golf Club, Inc., Southwest Chapter.
SECTION 2 - PURPOSE
The purpose of the club is to promote and encourage a greater interest in golf and related social, charitable and educational activities.
SECTION 3 - MEETINGS
The Club meetings shall be governed by Robert’s Rules of Order and the Club constitution and bylaws, at least quarterly.
SECTION 4 - OFFICERS
The club officers shall consist of:
? President (elected)
? Vice President (elected)
? Secretary (elected)
? Treasurer (elected)
? Financial Secretary (elected)
? Tournament Director (appointed)
? Social Director (appointed)
? Historian (appointed)
? Parliamentarian (appointed)
All officers shall be elected
officers with the exception of the Tournament Director, Social Director,
Parliamentarian, and Historian which shall be Presidential appointments.
ARTICLE II
SECTION I - DUTIES OF OFFICERS
(A). President
Shall preside at all meetings and shall have the general supervision over the affairs of the club. He shall appoint necessary committees and also be an ex-officio member of all committees. He shall sign such documents as the Executive Committee may direct. He and either the Treasurer or the Financial Secretary shall sign checks on behalf of the club and shall be bonded as prescribed by the Executive Committee.
(B). Vice President
Shall assist the President and assume the duties of the President in his absence.
(C). Secretary
Shall keep the records and document minutes of the meetings of the club. The Secretary shall distribute written minutes of the last regular meeting prior to the next regularly scheduled meeting. He shall mail out all correspondence and keep a financial report of all expenditures incurred by his office.
(D). Treasurer
Shall be the custodian of all club funds. He shall deposit, in a bank selected by the Executive committee, all funds turned over to him by the membership. He shall receive and account for all funds of the club on the order from the President and countersigned by the Financial Secretary. He shall turn over to his successor all monies, vouchers, receipts and records belonging to the club. All Club checks shall be countersigned by the Treasurer and either the Financial Secretary or the President. The Treasurer shall be prepared to present a written detailed record of the club’s fiscal status at each meeting and also submit an annual written report. He shall be bonded as prescribed by the Executive Committee.
(E). Financial Secretary
Shall work with the Treasurer and be prepared to act as the Treasurer’s designee when necessary. He shall collect and record all funds and shall notify the presiding officers prior to the beginning of any official meeting as to the status of the membership dues. He shall be bonded as prescribed by the Executive Committee. He shall countersign checks with the Treasurer in the absence of the President.
(F). Tournament Director
Shall be appointed by the President. Shall schedule, plan and administer all tournaments sponsored by the club. He shall oversee the handicap Committee and have sole jurisdiction over all handicaps, according to USGA Rules, any adjustments and keeping of records there of. He shall interpret and enforce all rules governing tournament play subject to the approval of the Executive Committee. He shall, in compliance with the club budget, select and purchase all awards for the club tournaments, and shall have the power to appoint any assistant necessary in conducting his program. He shall submit an annual report relating to expenses and tournament play winners at the end of the calendar year.
(G). Social Director
Shall be appointed by the President. Shall be in charge of all social activities of the club and shall submit a written report of all related expenses to the body after each social event. An annual report will be submitted at the end of the calendar year.
(H). Historian
Shall be appointed by the President. Shall maintain the club’s log based on significant and interesting occasions and shall submit an annual written report.
(I). Parliamentarian
Shall be appointed by the President. Shall be the final interpreter of the Constitution, Bylaws and procedures when advice is requested by the presiding officer.
(J). Executive Committee
Shall consist of the elected officers plus the officers who have been appointed by the President and shall be chaired by the President or the Vice President. It shall submit to the membership each year a written, itemized budget for membership approval during the last quarter of each year. It shall also act on emergency matters in the periods between regular membership meetings and on other matters as prescribed by the constitution
ARTICLE III
ELIGIBILITY FOR OFFICE AND TERMS OF OFFICE
SECTION 1 - ELIGIBILITY FOR OFFICE
To be eligible for a club office, a member shall be in good standing with both the club and National body.
SECTION 2 - TERM OF SERVICE
All officers of Pro Duffers Golf Club shall be elected for a two (2) year term. The President may not succeed himself for a consecutive term. All other officers may be re-elected at the pleasure of the membership. Appointed officers shall serve at the pleasure of the President.
SECTION 3 - MODE OF ELECTION
(A). The election of the officers of the club shall be held by secret ballots after direct nominations. The nominee receiving the majority of ballots shall be declared elected. In the event of multiple nominees, where no candidate receives a majority of the votes cast for that office, a run off shall be held between the two candidates (including ties) having the highest number of votes.
(B). A member may be nominated for more than one office, but shall only take the office which he is first elected.
SECTION 4 - REMOVAL
Any office, agent or member may be removed by the membership for cause. Such adverse action shall be approved by the Executive Committee for submission to the membership. A two-thirds (2/3) vote of the membership present is necessary. Said member has the right to appeal this action and said right shall not be abrogated.
SECTION 5 - VACANCIES
Any vacancy occurring in the Executive Committee shall be filled by vote of the membership, except those that are appointed by the President.
SECTION 6 - TIME OF ELECTION
Election will be held at the regular membership meeting 30 days prior to the Fall Retreat of the election year.
ARTICLE IV
GOVERNMENT
SECTION 1 - MEETINGS AND QUORUMS
Regular meetings shall be held at least four times per year. Other meetings may be called at the discretion of the President and/or the Executive Committee. A quorum shall consist of at least ten (10) financial members and an officer of the club. No official business may be conducted without a quorum.
SECTION 2 - DUES
The amount of dues will be determined by the membership and are due January 1st and shall be paid in full no later than February 1st.
SECTION 3 - MEMBER PARTICIPATION
No member shall participate in any meeting or function of the club who is not financial. (Dues and/or other outstanding assessments.)
SECTION 4 - MEMBERSHIP
(A). Membership in this organization shall consist of individuals not less than twenty-one (21) years of age and shall be by invitation only. Authorization to extend an invitation must meet the approval of two-thirds (2/3) of the financial members present at a regularly scheduled or called meeting.
(B). A financial member wishing to sponsor a prospective new member may do so at any regularly scheduled meeting. This sponsorship must be in writing and submitted to the membership committee. The Membership Committee’s recommendation will be reviewed by the Executive Committee who shall be responsible for notifying the financial members at least fifteen (15) days prior to the meeting that new members will be voted upon. The applications for membership will be voted on prior to the Fall Retreat. Individuals who are invited, must submit a complete official application accompanied by the proper entry fees and obligations by January 1st
(C). All members are expected to conduct themselves at all times in a manner that enhances their personal integrity and that of the club. Conduct that is perceived to be negative and detrimental to the image of the club shall be brought to the attention of the Executive Committee for appropriate action
GOVERNMENT
(D). Any member who, by virtue of extenuating circumstances pertaining to compliance with the constitution and by-laws, may appeal in writing to the President for appropriate action by the Executive Committee.
(E). The fiscal year of the club shall begin on the first day of January and end on the last day of December of each year.
(F). The general membership of the club shall be divided into five (5) categories namely:
? Active - financial members in good standing
? Associate - the direct offspring of financial members who may apply at any time for full membership upon attaining the age of twenty-one (21). They shall not pay dues or be entitled to vote on club matters. They may play in club tournaments but not be eligible for trophies or prizes.
? Honorary - any person proposed and accepted by a two-third (2/3) vote of the financial membership. The membership must have been notified at least fifteen (15) days prior to this vote at the last regularly scheduled meeting of the year. They shall have no vote in club matters.
? Emeritus - A member who, having been financial in the club for a minimum of ten years and having made significant contributions to the goals and objectives of the Pro Duffers, may be bestowed the coveted title of member emeritus at the discretion of the Executive Committee. A member who wishes to nominate a fellow Pro Duffer for consideration shall convey in writing to the President the reason for his desired action. This statue does not waive dues and fees for active participation.
? Inactive - A member, who by virtue of hardship, relocation or other legitimate causes, may request this status. This request will be reviewed by the Executive Committee. The recommendation shall be submitted to the membership at a regularly scheduled meeting and will require a two- thirds (2/3) vote of the membership present for approval. Said inactive member shall notify the club of his intentions to rejoin the activities of the club. In the event of being assigned active military duty, the member shall regain his status upon discharge. They shall have no vote in club matters.
GOVERNMENT
SECTION 5 - AMENDMENTS
Amendments to the constitution will require a written notice to all members at least thirty (30) days prior to a regularly scheduled meeting and will require a two-thirds (2/3) vote of the members present and shall become effective January 1st of the succeeding year.
BYLAWS
SECTION 1 - AMENDMENTS
Amendments to the Bylaws may be made at any scheduled meeting and will require a two-thirds (2/3) vote of the quorum present.
SECTION 2 - CLUB COLORS
The club colors shall be those colors in the club crest in addition to blue and black.
SECTION 3 - FEES
Fees received by the club shall not be refunded, except at the discretion of the membership.
SECTION 4 - PARTICIPATION
All financial members of Pro Duffers Golf Club are required to participate in at least fifty percent (50%) of the club’s sanctioned activities. Sanctioned activities will include the published schedule for Southwest Chapter Pro Duffers regular meetings and sponsored tournaments provided at the beginning of the fiscal year. Failure to do so will require the member to formally request being placed in inactive status. If the member fails to request and obtain inactive status before the end of the fiscal year, they will be dropped from the club roster.
SECTION 5 - APPROPRIATIONS
The Executive Committee is authorized to appropriate and use funds for club business from the club treasury not to exceed seventy-five ($75.00) for necessary expenditures incurred between membership meetings. Any appropriation and expenditure in excess of this amount must be approved by the membership.
SECTION 6 - EX-OFFICIO
The Immediate Past President may serve as an ex-officio member of the Executive Committe.
SECTION 7 - CODE OF ETHICS
Golf, unlike many other sports is considered a gentleman’s game. In the heat of competition, the occasional outcry or uttering of an expletive for an arrant or missed shot can be anticipated and possibly condoned. However, the use of sustained and or loud profanity, the throwing of clubs or other violent behavior is embarrassing to fellow club members and other players and inconsistent with the Rules of Golf, as is, the deliberate miscounting of strokes and will not be tolerated by the club. Any member conducting himself in this manner shall be in violation of this code. The circumstances shall be reported to the Executive committee and the member will be censured

Standing Committee Chairpersons are expected to provide written committee summary reports to the chapter Secretary for inclusion in the minutes.
